ESIG — TERMS OF SERVICE AND CONDITIONS OF USE

These Terms of Service and Conditions of Use ("Terms", "Agreement", or "Terms of Service") govern your access to and use of the Esig website, platform, applications, application programming interfaces ("API"), electronic-signature services, document-management services, and related products and services (collectively, the "Service").
The Service is operated under the Esig brand ("Esig", "we", "us", or "our").
By creating an account, accessing the Service, purchasing a subscription, sending or signing a document through the Service, or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.

1. DEFINITIONS
For purposes of these Terms:
"Account" means an account registered with Esig.
"Administrator" means a person authorized by an organization to manage an organizational Esig account, including users, permissions, subscriptions, documents, templates, and settings.
"Authorized User" means an individual authorized by an Account holder or organization to access and use the Service.
"Content" means any information, document, file, text, image, data, signature, template, message, comment, or other material submitted, uploaded, transmitted, generated, or stored through the Service.
"Customer Content" means Content submitted or uploaded by you or your Authorized Users.
"Document" means any electronic document, agreement, form, contract, packet, or other file processed through the Service.
"Electronic Signature" means an electronic representation, process, or data associated with a document or transaction that is intended to identify a person and indicate that person's intention to sign or approve the document.
"Envelope" means a transaction or electronic-signature workflow containing one or more documents and one or more recipients or signers.
"Fees" means subscription fees, usage fees, transaction fees, or other amounts payable for paid Services.
"Free Plan" means a Service plan offered at no monetary charge, subject to the limitations displayed by Esig.
"Paid Plan" means any subscription plan for which Fees are payable.
"Personal Information" means information about an identifiable individual, as defined by applicable privacy legislation.
"Service" means the Esig platform, website, software, APIs, applications, features, and related services.
"Subscription Term" means the period for which a paid subscription is purchased.

2. ACCEPTANCE OF THESE TERMS
By using the Service, you represent that:
1. You have the legal capacity to enter into a binding agreement.
2. The information you provide to Esig is accurate and complete.
3. You will comply with these Terms and all applicable laws.
4. If you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms.
5. You will not use the Service for unlawful, fraudulent, deceptive, or unauthorized purposes.
If you are accessing the Service on behalf of a company, partnership, government organization, non-profit organization, or other legal entity, "you" includes both you individually and that organization.

3. ELIGIBILITY
The Service is intended for business, professional, organizational, and lawful personal use.
You must meet the minimum legal age and capacity required to enter into a binding contract in the jurisdiction applicable to you.
Esig may restrict or terminate access where it reasonably believes that an account has been created or operated by a person who does not satisfy applicable eligibility requirements.

4. ESIG ACCOUNT
4.1 Account Registration
Certain features require you to create an Account.
You agree to provide accurate, current, and complete information when registering and to maintain that information throughout your use of the Service.
You must not:
- Create an Account using false information.
- Impersonate another person or organization.
- Create an Account on behalf of another person without authorization.
- Use another person's Account without permission.
- Create multiple Accounts for the purpose of circumventing Service limitations.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your Account.
You must promptly notify Esig if you believe:
- Your password has been compromised.
- Your Account has been accessed without authorization.
- An API token has been exposed.
- An Authorized User is no longer authorized.
- There has otherwise been a security incident involving your Account.
Esig is not responsible for losses resulting from your failure to maintain appropriate Account security, except to the extent caused by Esig's breach of its obligations under applicable law.
4.3 Organizational Accounts
If you use Esig through an organization, the organization's Administrator may have access to Account information, documents, templates, activity logs, billing information, and other administrative functionality.
The organization may control access to the Account and may add, remove, or modify Authorized Users.
Disputes between an organization and its users are the responsibility of those parties and not Esig.

5. DESCRIPTION OF THE SERVICE
Esig provides electronic document and workflow services that may include:
- Uploading and sending documents.
- Electronic signature collection.
- Typed or drawn signatures.
- Signature, date, text, and checkbox fields.
- Templates.
- Bulk document sending.
- Reminders.
- Document tracking.
- Activity and audit trails.
- Comments and collaboration.
- Self-service signing links.
- Document storage.
- API access.
- Integrations.
- Team management.
- Related document workflow functionality.
Features may differ depending on the subscription plan.
Esig may introduce, modify, replace, suspend, or discontinue features from time to time.

6. ELECTRONIC SIGNATURES
6.1 Electronic Transactions
Esig provides technology that facilitates electronic signing and execution of documents.
Esig is not a party to documents signed through the Service unless expressly identified as a party to a particular agreement.
The legal validity, enforceability, admissibility, and effect of an electronic signature may depend on:
- Applicable law.
- The identity of the signer.
- The type of transaction.
- The document.
- The consent of the parties.
- Applicable regulatory requirements.
- The manner in which the electronic signature is used.
You are responsible for determining whether electronic execution is appropriate for your particular transaction.
6.2 Signer Consent
Where required, a signer may be required to provide consent to conduct transactions electronically.
By using the Service to sign a document, a signer represents that they understand that the signing process is electronic and that they intend to sign, approve, acknowledge, or otherwise execute the applicable document.
6.3 No Legal Advice
Esig is a technology provider and is not a law firm.
Esig does not provide:
- Legal advice.
- Legal opinions.
- Tax advice.
- Accounting advice.
- Regulatory advice.
- Advice regarding whether a particular document is legally enforceable.
You should obtain independent professional advice where appropriate.
6.4 Documents Requiring Special Handling
Certain documents, transactions, or legal processes may be subject to special legal requirements or may not be suitable for electronic execution.
You are solely responsible for determining whether a document may legally be signed electronically and whether additional authentication, witnessing, notarization, registration, or other formalities are required.

7. AUDIT TRAILS AND ELECTRONIC RECORDS
Esig may create and maintain records associated with electronic-signature transactions, including information such as:
- Timestamps.
- Transaction events.
- Signer activity.
- Document access events.
- Signature events.
- Decline events.
- IP addresses.
- Authentication information.
- Email addresses.
- Routing information.
- Other transaction metadata.
These records are intended to assist with demonstrating the history of an electronic transaction.
An audit trail is not a guarantee that a particular document will be legally enforceable or admissible in every jurisdiction or proceeding.
You remain responsible for determining whether the records maintained through Esig satisfy your legal, regulatory, contractual, or evidentiary requirements.

8. CUSTOMER CONTENT
8.1 Ownership
As between you and Esig, you retain ownership of your Customer Content.
Nothing in these Terms transfers ownership of your documents to Esig.
8.2 License to Esig
You grant Esig a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, display, and otherwise use Customer Content solely as reasonably necessary to:
1. Provide the Service.
2. Process electronic-signature transactions.
3. Maintain and secure the Service.
4. Provide technical support.
5. Prevent fraud and abuse.
6. Comply with applicable law.
7. Enforce these Terms.
This license ends when Customer Content is deleted from Esig systems, except where retention is required by law, security requirements, legitimate business records, backups, or other lawful purposes.
8.3 Responsibility for Content
You are solely responsible for Customer Content and for ensuring that you have all necessary rights, permissions, consents, and legal authority to upload, process, transmit, and electronically sign such Content.
You represent that your Customer Content does not unlawfully infringe another person's rights.

9. PROHIBITED CONTENT AND USE
You must not use the Service to:
1. Violate any applicable law or regulation.
2. Commit or facilitate fraud.
3. Impersonate another person.
4. Forge or falsify signatures.
5. Manipulate electronic records for deceptive purposes.
6. Transmit malware, ransomware, viruses, or malicious code.
7. Distribute unsolicited bulk communications or spam.
8. Interfere with the operation of the Service.
9. Attempt to gain unauthorized access to Accounts or systems.
10. Bypass security controls or authentication mechanisms.
11. Conduct unauthorized penetration testing.
12. Reverse engineer or decompile the Service except where legally permitted.
13. Scrape or systematically extract Service data without authorization.
14. Use the Service to infringe intellectual-property rights.
15. Upload unlawful, defamatory, fraudulent, or otherwise prohibited material.
16. Use the Service to facilitate identity theft.
17. Use the Service to create deceptive documents.
18. Attempt to circumvent usage or subscription limits.
19. Resell the Service without authorization.
20. Interfere with another user's access to the Service.
Esig may investigate suspected violations and may suspend or terminate Accounts where reasonably necessary.

10. TEMPLATES
Esig may allow users to create, save, modify, and reuse templates.
You are responsible for ensuring that templates:
- Accurately reflect your intended agreements.
- Comply with applicable laws.
- Contain appropriate terms.
- Do not contain unauthorized or misleading information.
- Are reviewed by qualified professionals where appropriate.
Esig does not guarantee that any template is legally appropriate for your particular situation.

11. BULK SEND AND AUTOMATED WORKFLOWS
Where available, bulk-send and automated features may permit you to send documents to multiple recipients.
You are responsible for:
- Verifying recipient information.
- Ensuring that recipients have appropriate authorization.
- Ensuring that communications are lawful.
- Reviewing documents before sending.
- Avoiding duplicate or unintended sends.
- Complying with applicable anti-spam and privacy laws.
You must not use automated functionality to distribute unlawful, deceptive, fraudulent, or unauthorized communications.

12. API AND DEVELOPER ACCESS
12.1 API Usage
Esig may provide API access depending on your plan.
API access is subject to:
- Applicable plan limitations.
- Rate limits.
- Technical requirements.
- Authentication requirements.
- Documentation.
- Security requirements.
- Any additional API terms published by Esig.
12.2 API Tokens
You are responsible for protecting API credentials, tokens, keys, and secrets.
You must not:
- Publish API tokens publicly.
- Place confidential API credentials in public repositories.
- Share tokens with unauthorized persons.
- Use tokens belonging to another Account.
Esig may revoke compromised or misused API credentials.
12.3 Rate Limits
Esig may impose rate limits or other technical restrictions to protect the Service and its users.
Repeatedly attempting to bypass rate limits is prohibited.

13. THIRD-PARTY INTEGRATIONS
The Service may integrate with third-party services, including cloud storage, productivity, CRM, communication, payment, or other platforms.
Third-party integrations may be subject to separate terms and privacy policies.
Esig is not responsible for:
- Third-party outages.
- Third-party security incidents.
- Changes to third-party APIs.
- Third-party fees.
- Third-party policies.
- Third-party data processing.
Your use of third-party services is at your own risk.

14. SUBSCRIPTIONS AND PLANS
Esig may offer Free Plans and Paid Plans.
Plan features, limits, pricing, usage allowances, and other conditions are described on the applicable pricing page or order form.
Esig may impose reasonable usage limits to prevent abuse and to maintain Service performance.
14.1 Free Plans
Free Plans may include limited usage or functionality.
Esig may modify, suspend, or discontinue Free Plans at any time, subject to applicable law.
No payment is required for a Free Plan unless otherwise stated.
14.2 Paid Plans
Paid Plans require payment of the applicable Fees.
Unless otherwise stated at checkout or in an applicable order form, subscriptions may automatically renew for successive subscription periods.
You authorize Esig or its payment provider to charge the applicable Fees using the payment method associated with your Account.

15. PRICING AND PAYMENT
All Fees are stated in Canadian dollars unless expressly indicated otherwise.
Applicable taxes, including GST/HST or other legally applicable taxes, may be added to Fees.
You are responsible for paying all applicable Fees and taxes.
If payment fails, Esig may:
- Retry the payment.
- Restrict Account functionality.
- Suspend the Account.
- Terminate the applicable subscription.
You remain responsible for amounts incurred before termination.

16. PRICE CHANGES
Esig may change subscription pricing from time to time.
For recurring Paid Plans, Esig will provide reasonable notice of material price increases where required by applicable law.
If you do not agree to a price change, you may cancel your subscription before the new price becomes effective.

17. CANCELLATION
You may cancel a subscription through the applicable Account settings or by contacting Esig support where available.
Cancellation generally takes effect at the end of the current paid subscription period unless otherwise stated.
Unless required by applicable law or expressly stated by Esig, cancellation does not automatically entitle you to a refund for unused time.

18. REFUNDS
Except where required by applicable law or expressly provided by Esig, Fees are non-refundable.
If Esig provides a free trial, promotional offer, credit, or refund policy, the specific terms of that offer will apply.
Esig may provide refunds or credits at its discretion where appropriate.
Nothing in this section limits mandatory consumer rights that cannot legally be waived.

19. DOCUMENT STORAGE AND RETENTION
Esig may provide document storage as part of the Service.
You acknowledge that:
- Storage availability may depend on your plan.
- Storage limits may apply.
- Deleted documents may not be recoverable.
- Accounts may be subject to retention or deletion policies.
- Esig may delete data following Account termination in accordance with its applicable policies.
You are responsible for maintaining independent backups of important documents.
Esig does not guarantee permanent storage of Customer Content unless expressly agreed in writing.

20. BACKUPS
Esig may maintain backups for operational, security, disaster-recovery, and business-continuity purposes.
Backups may not be immediately available for restoration.
You should maintain independent copies of important documents.
Esig does not guarantee that every deleted, corrupted, or lost file can be recovered from backup.

21. PRIVACY AND PERSONAL INFORMATION
Your use of the Service is also subject to Esig's Privacy Policy.
Esig may collect and process information necessary to operate the Service, including:
- Account information.
- Contact information.
- Login information.
- Documents.
- Electronic-signature information.
- Transaction metadata.
- IP addresses.
- Device and browser information.
- Usage information.
- Billing information.
- Communications with Esig.
Esig will handle Personal Information in accordance with its Privacy Policy and applicable privacy legislation.
If you upload Personal Information belonging to other individuals, you are responsible for ensuring that you have an appropriate legal basis and authority to collect, disclose, and process that information through the Service.
Where required, you must provide appropriate notices and obtain appropriate consents.

22. SECURITY
Esig maintains reasonable administrative, technical, and organizational measures designed to protect the Service and Customer Content.
However, no Internet-based system can be guaranteed to be completely secure.
You acknowledge that:
- Electronic communications may be intercepted.
- Unauthorized access can occur.
- Security vulnerabilities may exist.
- Third-party systems may fail.
- No security system can provide absolute protection.
You agree to use reasonable security practices when using the Service.

23. CONFIDENTIAL INFORMATION
Each party may receive confidential information belonging to the other party.
The receiving party will use reasonable care to protect confidential information and will not disclose it except:
1. To personnel or service providers who need it to perform applicable obligations.
2. Where required by law.
3. With the other party's consent.
4. Where the information is already publicly available through no fault of the receiving party.
Confidential information does not include information that:
- Is publicly available.
- Was already lawfully known.
- Is independently developed.
- Is lawfully received from a third party without confidentiality restrictions.

24. ESIG INTELLECTUAL PROPERTY
The Service, including its software, design, interface, branding, trademarks, logos, documentation, features, code, workflows, and other materials, is owned by or licensed to Esig and is protected by applicable intellectual-property laws.
Except as expressly permitted by these Terms, you may not:
- Copy the Service.
- Modify the Service.
- Reproduce the Service.
- Distribute the Service.
- Sell or sublicense the Service.
- Reverse engineer the Service.
- Create derivative works.
- Remove proprietary notices.
- Use Esig branding without authorization.
Nothing in these Terms grants you ownership of Esig intellectual property.

25. FEEDBACK
If you provide suggestions, recommendations, ideas, or other feedback regarding the Service, you grant Esig a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, and incorporate that feedback into its products and services without compensation or attribution.
You are not required to provide feedback.

26. ESIG'S RIGHT TO MODIFY THE SERVICE
Esig may modify, improve, replace, suspend, or discontinue features of the Service.
Where reasonably practicable, Esig may provide advance notice of material changes that materially reduce the functionality of a Paid Service.
Esig is not responsible for changes required because of:
- Legal requirements.
- Security concerns.
- Third-party dependencies.
- Technical limitations.
- Abuse prevention.
- Circumstances beyond Esig's reasonable control.

27. SERVICE AVAILABILITY
Esig will use commercially reasonable efforts to make the Service available.
However, Esig does not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable due to:
- Maintenance.
- Upgrades.
- Security incidents.
- Network failures.
- Hosting-provider failures.
- Internet disruptions.
- Third-party services.
- Force majeure events.
- Other circumstances beyond Esig's reasonable control.

28. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
ESIG DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE SERVICE.
ESIG DOES NOT WARRANT THAT:
1. THE SERVICE WILL ALWAYS BE AVAILABLE.
2. THE SERVICE WILL BE ERROR-FREE.
3. DOCUMENTS WILL NEVER BE LOST.
4. ELECTRONIC SIGNATURES WILL BE ENFORCEABLE IN EVERY JURISDICTION.
5. THE SERVICE WILL SATISFY EVERY LEGAL OR REGULATORY REQUIREMENT.
6. THE SERVICE WILL MEET YOUR PARTICULAR REQUIREMENTS.
7. THE SERVICE WILL BE COMPLETELY SECURE.
Nothing in these Terms excludes a warranty, condition, representation, or statutory right that cannot legally be excluded.

29. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESIG AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF:
- Profits.
- Revenue.
- Business.
- Contracts.
- Goodwill.
- Data.
- Documents.
- Opportunities.
- Anticipated savings.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESIG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO ESIG FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) CAD $100.
The foregoing limitations do not apply to liability that cannot legally be limited or excluded under applicable law.

30. CUSTOMER INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Esig and its directors, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, costs, and reasonable legal expenses arising from:
1. Your violation of these Terms.
2. Your unlawful use of the Service.
3. Your Customer Content.
4. Your violation of another person's rights.
5. Your unauthorized use of electronic signatures.
6. Your violation of privacy or data-protection obligations.
7. Your fraud, negligence, or willful misconduct.
8. Your use of the Service on behalf of an organization without appropriate authorization.
Esig will provide reasonable notice of an indemnified claim and may participate in the defense.

31. TERMINATION AND SUSPENSION
Esig may suspend or terminate your Account if:
- You materially breach these Terms.
- Payment remains overdue.
- You engage in fraudulent or unlawful activity.
- Your Account presents a security risk.
- You abuse the Service.
- You violate usage restrictions.
- Suspension is required by law.
- Suspension is reasonably necessary to protect Esig, its users, or the Service.
Where appropriate, Esig may provide notice and an opportunity to remedy the violation.
You may terminate your Account at any time.

32. EFFECT OF TERMINATION
Upon termination:
- Your right to access the Service may cease.
- Outstanding Fees remain payable.
- Your licenses under these Terms will terminate except where expressly stated otherwise.
- Esig may delete or restrict access to Customer Content in accordance with its retention policies.
Sections that by their nature should survive termination will survive, including provisions relating to:
- Intellectual property.
- Confidentiality.
- Payment obligations.
- Disclaimers.
- Limitation of liability.
- Indemnification.
- Dispute resolution.
- Other provisions intended to survive termination.

33. EXPORTING YOUR DOCUMENTS
Where technically available, Esig may provide tools allowing you to download or export documents.
You are responsible for exporting important documents before terminating your Account or allowing a subscription to expire.
Esig does not guarantee that export functionality will remain available indefinitely after Account termination.

34. COPYRIGHT COMPLAINTS
If you believe that material available through the Service infringes your copyright or other intellectual-property rights, you may contact Esig with sufficient information to identify:
- The copyrighted work.
- The allegedly infringing material.
- The location of the material.
- Your contact information.
- Your relationship to the rights holder.
- Any information reasonably necessary to investigate the complaint.
Esig may remove or restrict access to material where appropriate.

35. THIRD-PARTY SERVICES
The Service may contain links to third-party websites or services.
Esig does not control and is not responsible for third-party:
- Websites.
- Software.
- Content.
- Products.
- Services.

Accessing third-party services is at your own risk.

36. COMMUNICATIONS
By creating an Account, you agree that Esig may send you communications relating to:
- Account activity.
- Transactions.
- Security.
- Billing.
- Service changes.
- Support.
- Legal notices.
- Other operational matters.
Where permitted by applicable law, Esig may also send marketing communications.
You may unsubscribe from promotional communications using the applicable unsubscribe mechanism.
Unsubscribing from marketing communications does not prevent Esig from sending essential transactional or Account-related communications.

37. REFERRAL PROGRAM
If Esig offers a referral program, participation is subject to the applicable referral-program rules.
Referral rewards may be subject to:
- Eligibility requirements.
- Minimum payout thresholds.
- Verification.
- Fraud prevention.
- Cancellation or refund adjustments.
- Other reasonable restrictions.
Esig may suspend or terminate referral benefits where it reasonably believes the program has been abused.
Referral commissions do not constitute employment, partnership, agency, or joint venture.

38. FORCE MAJEURE
Esig will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
- Natural disasters.
- Severe weather.
- Fire.
- Flood.
- War.
- Terrorism.
- Civil unrest.
- Government action.
- Telecommunications failures.
- Internet outages.
- Power failures.
- Cyberattacks.
- Failures of third-party infrastructure.
- Labour disruptions.
- Other events beyond reasonable control.

39. GOVERNING LAW
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.
Subject to any mandatory consumer-protection rights, the parties agree that disputes arising from these Terms will be subject to the courts located in Ontario, Canada.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where legally available.

40. DISPUTE RESOLUTION
Before commencing formal legal proceedings, the parties should attempt in good faith to resolve disputes by contacting Esig support or the other party.
Nothing in this section prevents a party from seeking:
- Emergency injunctive relief.
- Enforcement of intellectual-property rights.
- Recovery of undisputed amounts.
- Any remedy that cannot legally be restricted.

41. CONSUMER RIGHTS
Nothing in these Terms is intended to exclude, restrict, or waive rights or protections that cannot legally be excluded, restricted, or waived under applicable consumer-protection, privacy, electronic-commerce, or other legislation.
If any provision conflicts with a mandatory legal requirement, the mandatory requirement will prevail to the extent of the conflict.

42. CHANGES TO THESE TERMS
Esig may update these Terms from time to time.
When material changes are made, Esig may provide notice through the Service, email, or another reasonable method.
The updated Terms will become effective on the date specified in the updated Terms.
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms, except where applicable law requires a different form of consent.

43. SEVERABILITY
