Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Esig website, applications, and related services (the “Service”) operated by Esig (“we”, “us”, or “our”).
1. Acceptance
By creating an account, accessing the Service, or sending an agreement for signature, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Esig provides electronic agreement preparation, delivery, signature capture, reminders, templates, audit history, and related collaboration tools. Features available to you depend on your plan and administrator settings.
3. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly of unauthorized use. We may suspend or deactivate accounts that violate these Terms or applicable law.
4. Electronic signatures
You acknowledge that electronic signatures and related records may be used to evidence agreements under applicable Canadian law, including the federal Personal Information Protection and Electronic Documents Act (PIPEDA) framework and provincial e-commerce statutes, subject to the nature of the transaction. You are responsible for determining whether electronic signature is appropriate for your documents.
5. Customer content
You retain ownership of documents and data you upload (“Customer Content”). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide the Service. You represent that you have the rights needed to use Customer Content with the Service and that inviting recipients to sign is lawful.
6. Acceptable use
You will not misuse the Service, including by sending spam, malware, unlawful content, or attempting to disrupt or reverse engineer the Service. Bulk sending must comply with anti-spam laws (including CASL in Canada).
7. Plans, billing, and taxes
Paid plans are billed according to the pricing shown at purchase. Applicable GST/HST/PST/QST is calculated from your billing address and our tax configuration. Fees are generally non-refundable except where required by law.
8. Privacy
Our collection and use of personal information is described in our Privacy Policy.
9. Confidentiality and security
We implement commercially reasonable administrative, technical, and physical safeguards. No method of transmission or storage is completely secure; you use the Service at your own risk subject to those safeguards.
10. Disclaimers
Except as required by law, the Service is provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not provide legal advice.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of these Terms or the Service will not exceed the fees you paid to us for the Service in the twelve (12) months before the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or non-payment. Provisions that by nature should survive will survive termination.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts in Toronto, Ontario will have exclusive jurisdiction, except where consumer protection laws require otherwise.
